Terms of Purchase

  1. Definitions

1.2 The term “buyer” means the natural person purchasing the buyer, as defined in this contract, for purposes other than those relating to the commercial or professional activity that may be carried out.

1.3 The sales contract will be concluded between Supplier and Buyer via a telematic tool.

  1. Declaration

The buyer as defined above expressly declares to make the purchase for purposes other than his / her commercial or professional activity.

  1. Object of the contract

3.1 With this contract, respectively, the Supplier sells and the Buyer purchases at distance from Telematic Goods Material Movable Materials indicated and sold on the site ellius.com and in the enclosed electronic catalog.

3.2 The products mentioned in the previous paragraph are illustrated on the web page ellius.com.

  1. Pre-contractual information

The buyer prior to the conclusion of the purchase contract takes a look at the characteristics of the goods that are shown on the site at the time of the buyer’s choice. Before the conclusion of the purchase contract and prior to the confirmation of the order with “payment obligation” the Buyer is informed about:

  • The total price of the goods including the taxes, with details of the shipping costs and any other costs;
  • The payment method;
  • The time within which the supplier undertakes to deliver the goods.
  • The conditions and procedures for exercising the right of withdrawal as well as the form of the withdrawal type set out in Annex I, Part B of Legislative Decree 21/2014;
  • Information that the buyer will have to bear regarding the cost of returning the goods in case of withdrawal;
  • The existence of a legal guarantee of conformity for the goods purchased;
  • The post-sales support conditions and commercial guarantees provided by the supplier

The buyer may at any time and in any case prior to the conclusion of the contract, be aware of Supplier information, address book, telephone and fax number, e-mail address, as specified above

  1. Forms and terms of contract stipulation

The contract between the Supplier and the Buyer terminates exclusively through the Internet via Buyer’s access at https://ellius.com/en/my-account/, where by following the procedures indicated, Buyer will arrive to formalize the proposal for the purchase of the goods shown and illustrated in the website www.ellius.com  and in the electronic catalog attached to it.

  1. Conclusion and effectiveness of the contract

The sales contract is considered to be concluded by sending the Supplier to the Purchaser of a confirmation email of the order. The mail contains the buyer’s details, the order number, the price of the goods purchased, the shipping costs, the delivery address to which the goods will be sent and the link in order to print and retain the copy of the following conditions.

The buyer undertakes to read and verify the accuracy of the personal data in it reporting to promptly notify the Supplier of any modifications or additions to be made.

The Supplier, for its part, undertakes to fully describe and submit the articles posted on the site and in the attached electronic catalog. If the description and presentation on the site contains minor differences with the actual products, this will not affect the contractual agreements that will remain valid and will not even give rise to liability.

The supplier undertakes to deliver the goods between 3 and 5 working days by national shipment and between 6 and 10 working days for international shipment by payment by Buyer. The supplier is in no way responsible for delays in deliveries. Failure to pay with the terms and conditions provided will result in the resolution of any agreement.

  1. Availability of products

The availability of the products refers to the actual one at the time the Supplier issues order confirmation. However, the confirmation must be considered purely indicative because due to the simultaneous presence on the site of multiple users, the products could be sold to other Buyers prior to sending the order Only this will certify the presence and availability of the ordered product confirmation.

If, following the delivery of the order confirmation message sent by the Supplier, there are cases of partial or total unavailability of the goods, the order will be rectified immediately and will be communicated to the Buyer by mail.

If the Buyer requests cancellation of the order by terminating the contract, the Supplier will return the import or received by the Buyer within 14 days from the date on which the vendor has known the customer’s decision to terminate the contract.

  1. Payment methods

Any payment by the Buyer may only be effected through credit cards specifically provided on the website www.ellius.com or by bank transfer or by PayPal or by any other means indicated by the Supplier on the site.

No other means of payment will be deemed to comply with the agreement and therefore will not be considered valid.

8.1 All payment communications will take place on a dedicated line of the Provider protected by encryption system. The Supplier guarantees the retention of this information with an appropriate level of security encryption and in accordance with the provisions of the current Privacy Policy. Only with the payment will be the obligation to deliver and only after the payment will be the deadlines for delivery, provided that if the payment is not made in the terms and conditions stipulated, the contract will be solely terminated without the obligation of any communication from the supplier.

  1. Prices

9.1 All sales prices of the products shown and indicated on the website www.ellius.com  collections are expressed in euro and are offered to the public pursuant to Article 1336 c.c.

9.2 The sales prices referred to in the previous paragraph are included in the Value Added Tax and any other tax. Shipping costs and any ancillary charges, if any, but not included in the purchase price, must be indicated and calculated in the purchase procedure prior to the buyer’s forwarding order, also contained in the summary web page of the buyer ‘Order made.

9.3 The prices ordered for each of the goods offered to the public are valid until the date indicated in the catalog, after which they will have no value even indicative.

  1. Right of withdrawal

In accordance with the legal provisions in force, the Buyer has the right to withdraw from the purchase without any penalty and without specifying the reason, within 14 working days from the date of delivery. In the event of exercise of the right of withdrawal, the Buyer is required to return the goods within 14 working days from the date of delivery by informing the supplier of his intention to withdraw from the contract in accordance with Legislative Decree 206/2005.

The goods must be returned to the Supplier at the following address VIA LUIGI GALVANI 34, 52100 AREZZO or any other address which will be duly communicated by the Supplier.

The direct costs of returning the products are borne by the buyer.

The goods must be returned in full, in the original packaging, complete in all parts and with the attached tax documentation. Without prejudice to the right to verify compliance with the foregoing, Supplier shall refund the amount of the products subject to the withdrawal within a maximum of 14 days as provided for in Article 56, paragraph 3 of Legislative Decree 206/2005 as amended by the Decree Law 21/2014. The term of 14 days will, however, start from the day of receipt of the goods by the buyer.

The Supplier will make a refund using the same payment method chosen by Buyer when purchasing. In the case of payment by wire transfer, and if the Buyer must provide the supplier with the IBAN, SWIFT and BIC bank coordinates required for the refund by the Supplier.

  1. Warranty

In the event of receiving orders or defective products, the Buyer has the right to repair the Product without the expense of repairing or replacing the product. Buyer may exercise this right if the defect occurs within two years of delivery of the goods and denounces the defect to the Supplier within two months of discovery.

  1. Delivery times and methods

12.1 The Supplier will deliver the products ordered by the buyer within the territory of Italy within 5 days of receipt of payment by Buyer. While in those in the EU territory outside Italy within 8 days and those in other non-EU countries within 22 days. Delivery will be through a courier appointed by the supplier and the merchandise will travel with eligible insurance coverage.

12.3 Delivery times, shipping methods and costs are however indicated and highlighted at www.ellius.com. If the delivery times are subject to variations, immediate notice will be given to the buyer.

  1. Obligations of the buyer

13.1The buyer agrees to pay the price of the purchased goods in the times and manner specified in the contract.

13.2 The Buyer undertakes, upon completion of the on-line purchase procedure, to arrange for the printing and maintenance of this contract.

13.3 The Buyer acknowledges that the information contained in this contract has, however, already been viewed and accepted by the Buyer himself, prior to the manifestation of the will to purchase.

  1. Billing

For each order regularly confirmed and paid, the Supplier issues invoice of the goods shipped. The invoice is available and printable, after the order is delivered, in the “My Orders” section of the Buyer’s “My Account” section. The invoice will contain the information provided by Buyer during the purchase procedure. After the invoice is issued, you will not be able to make any changes to the data shown on the same invoice.

  1. Responsibility

The vendor does not assume any liability for any delays or delays due to force majeure or fortuitous incidents, even if they are affected by malfunctions in the internet.

  1. Storage of the contract

Pursuant to Article 12 of Legislative Decree 70/20032, the Supplier informs the Purchaser that any ordered order is stored in a digital / paper form at the server at the vendor’s premises on the basis of confidentiality and security.

  1. Communications and complaints

Written and direct communications to the Supplier and any complaints will be deemed valid only if sent to the following address: VIA GALVANI 34 52100 AREZZO or sent by e-mail to the following address.   1. Composition of Disputes and Jurisdiction

19.4 Personal data will be communicated, upon signature of a confidentiality commitment, to only those delegated to carry out the activities required to execute the contract and communicate solely for this purpose.

19.5 The buyer enjoys the rights referred to in Article 7 of Legislative Decree 196/2003, namely the right to obtain:

  1. Updating, rectifying or, where relevant, integration of data;
  2. Cancellation, transformation into anonymous form or blocking of data processed in violation of law, including those that are not required to be kept for the purposes for which the data was collected or subsequently processed;
  3. The attestation that the transactions referred to in points (a) and (b) have been brought to the knowledge, including their content, of those to whom the data have been communicated or disseminated, except where such fulfillment is impossible or involves the use of means manifestly disproportionate to the protected right. The interested party also has the right to object, in whole or in part, for legitimate reasons to the processing of his / her personal data, even if pertinent to the purpose of the collection; To the processing of personal data concerning him for the purpose of sending advertising material or direct sale or for the purpose of market research or commercial communication.

19.6 The Buyer’s communication of his personal data is a necessary condition for the proper and timely execution of this contract. Failure may not be given to the Buyer’s request.

19.7 If this is done, the acquired data will be stored for a period of time not exceeding what is necessary for the purposes for which they have been collected or subsequently processed. However, their removal will be safe.

19.8 The Owner of the collection and processing of personal data is the Supplier, to whom the Buyer can address, at the company headquarters, any request.

19.9 Anything that should arrive at the Supplier’s (including electronic) mail (requests, suggestions, ideas, information, materials, etc.) will not be considered as confidential information or information, it must not violate anyone’s rights and should contain valid information, Without prejudice to any other truthfulness, in any case, the Supplier may not be held liable for the contents of the messages themselves.

  1. Customizable products

The Supplier undertakes, in the interest and satisfaction of the Purchaser, to create customized sizes and sizes of the products available on Collections, where explicitly indicated.

The Buyer’s decision to purchase a customized product requires viewing the following information:

  • The production times for customized items vary from 15 to 20 working days
  • The production of a personalized item requires the payment in advance plus a surcharge of 5 euros, therefore in the case of bank transfer the item will not be put into production until the credit is visible in the Supplier’s Current Account (normally 2 working days from the payment)
  • For personalized products it is not possible to use the right of withdrawal as expressly indicated in point 10.

These general sales conditions are up to date 01/10/2018 and are subject to change, update, and variation that prevail over the foregoing.
